SolidCal Terms of Use

These Terms of Use work together with the SolidCal Privacy Notice, End User License Agreement, and our Data Processing Addendum to form a binding contract between you and SolidCal, Inc. (“SolidCal”, “we”, “us”, or “our”). By accessing solidcal.com, any related media or extensions, or any SolidCal-powered experience provided by SolidCal (collectively, the “Website”, “Site”, or “Services”), you acknowledge that you have read and agree to these Terms. If you do not agree, you must discontinue use immediately.
The Services facilitate scheduling between SolidCal Users and Schedulers. You may use the Services only for your internal purposes and not for resale. Any capitalized term not defined here has the meaning assigned in the Privacy Notice, EULA, or DPA referenced above.
Defined Roles
Throughout these Terms, the following roles apply:
- “Users” or “Customers” are people who register for a SolidCal (SolidCal-powered) account.
- “Schedulers” are individuals who book a meeting with a User but may not maintain their own account.
- “Viewers” are people who visit the SolidCal Website or interact with SolidCal content without becoming Users or Schedulers.
Acceptable Use
SolidCal provides scheduling infrastructure for professional meetings. You may use these Services solely for lawful purposes and in accordance with these Terms. Unauthorized resale, misrepresentation, or misuse of the Services is prohibited.
Intellectual Property Rights
SolidCal claims no ownership over content you submit through the Services; however, you grant us the rights necessary to operate and improve the platform. All intellectual property rights in the Site and its underlying technology remain the exclusive property of SolidCal or its licensors and are protected by applicable laws and treaties. Trademarks, trade names, logos, illustrations, and other marks appearing in connection with SolidCal remain owned by SolidCal or its licensors.
User Registration and Eligibility
To create scheduling links you must register for a SolidCal account, maintain accurate information, and keep your credentials confidential. SolidCal may reclaim a workspace URL or username if it is inappropriate or violates these Terms. By registering you represent that all submitted information is true, you will maintain its accuracy, you have legal capacity, you will not access SolidCal via automated means, you will not use the Services for illegal purposes, and your use complies with all applicable laws. SolidCal may suspend or terminate accounts containing inaccurate or incomplete information.
Fees and Payment
Some Services require payment as described on the pricing page. You agree to provide current, complete, and accurate billing information, including valid payment methods and tax details. By purchasing, you authorize SolidCal (and its processor Stripe) to charge your payment method for applicable fees, including recurring charges, until you cancel in accordance with these Terms. SolidCal may adjust prices, correct billing errors, or refuse orders.
Renewal and Cancellation
Subscriptions renew automatically for successive terms unless you cancel through the SolidCal billing page or by contacting support@solidcal.com before the current term ends. Cancellation takes effect at the end of the paid period, and access may cease at that time.
Refunds
If you cancel within the first 30 days of a new subscription, you are entitled to a full refund. After that window, refunds may be granted at SolidCal’s sole discretion.
Electronic Communications
By using the Services, you consent to receiving electronic communications from SolidCal and agree that electronic signatures, notices, and records satisfy legal requirements. You waive rights requiring non-electronic signatures or records where permitted by law.
Prohibited Activities
You agree not to engage in any of the following activities when using SolidCal. Violations may result in suspension or termination of access and may be reported to authorities.
- Systematically retrieve data or other content from the Services to create or compile a database or directory without SolidCal’s written consent.
- Trick, defraud, or mislead SolidCal or other users, including attempts to learn sensitive account information.
- Circumvent, disable, or interfere with security features, or copy and distribute content without authorization.
- Disparage, tarnish, or otherwise harm SolidCal’s reputation.
- Use information obtained from SolidCal to harass, abuse, or harm another person or organization.
- Misuse support channels or submit false reports of abuse or misconduct.
- Use the Services in violation of applicable laws or regulations or for purposes inconsistent with these Terms.
- Engage in unauthorized framing, linking, or automated access (including bots, scrapers, or mining tools).
- Upload or transmit malware, harmful scripts, or disruptive content that interferes with others’ use.
- Delete copyright or other proprietary rights notices from any content.
- Impersonate another person, use someone else’s username, or register accounts via automated means.
- Collect or disclose protected classification characteristics, biometric data, or other special categories of information without proper authorization.
- Reverse engineer, decompile, or disassemble SolidCal software except where permitted by law.
- Launch or distribute automated systems (spiders, robots, cheat utilities, offline readers) without written permission.
- Collect usernames or email addresses for unsolicited messages or commercial solicitation.
- Use SolidCal to compete with SolidCal or for any revenue-generating endeavor not approved by SolidCal.
- Sell or transfer your profile or access credentials.
- Interfere with, disrupt, or place undue burden on SolidCal infrastructure or networks connected to the Services.
Links to Third-Party Websites
SolidCal may reference third-party websites or content. We are not responsible for, and do not endorse, third-party sites or materials. Accessing them is at your own risk and governed by their terms and policies.
Indemnification
You agree to defend, indemnify, and hold harmless SolidCal, its affiliates, officers, agents, partners, and employees from any claims, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising from your content, your use of the Services, your breach of these Terms, or your violation of another party’s rights. SolidCal may assume exclusive defense of any matter subject to indemnification at your expense.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. SOLIDCAL DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR WITHOUT INTERRUPTION, OR THAT DEFECTS WILL BE CORRECTED.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLIDCAL AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, REVENUE, OR DATA) ARISING FROM YOUR USE OF THE SERVICES. SOLIDCAL’S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.
Governing Law
These Terms and your use of SolidCal are governed by the laws of the State of Minnesota, without regard to conflict of law principles.
Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including third-party outages, natural disasters, government actions, epidemics, strikes, civil unrest, or similar events.
Dispute Resolution and Arbitration
Most disputes can be resolved informally. If not, binding arbitration administered by the American Arbitration Association (AAA) will resolve disputes, except as noted below. YOU UNDERSTAND THAT ARBITRATION REPLACES THE RIGHT TO A JURY TRIAL. Arbitration may occur in person, by documents, phone, or online, and will take place in Hennepin County, Minnesota unless law requires otherwise. The arbitrator must apply applicable law, and any award may be challenged if the arbitrator fails to do so.
Either party may seek court relief to compel arbitration, stay proceedings, or confirm, modify, or vacate an award. If a dispute proceeds in court, it must be brought in state or federal courts located in Hennepin County, Minnesota, and the parties consent to personal jurisdiction there.
Arbitration is limited to disputes between the parties individually. Class actions, representative proceedings, and consolidation with other arbitrations are not permitted. Certain disputes are excluded from arbitration, including those seeking to enforce intellectual property rights, matters alleging theft, piracy, invasion of privacy, or claims for injunctive relief. Such disputes may proceed in court, and the parties consent to jurisdiction in Hennepin County, Minnesota for those matters.
Choice of Law for Disputes
You agree that disputes arising from your use of the Services are governed by Minnesota law without respect to conflict of law principles. Disputes under the Data Processing Addendum are governed by that document, including its choice-of- law provisions.
California Users and Residents
California residents may contact the Complaint Assistance Unit of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210 or (916) 445-1254 if a complaint with SolidCal is not resolved satisfactorily.
Changes to These Terms
SolidCal may update these Terms at any time. We will post revisions on this page and update the “Last updated” date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you object, discontinue use immediately.
Severability
If any provision of these Terms is deemed unlawful, void, or unenforceable, it will be severed without affecting the validity of the remaining provisions.
